This Research Note examines the acquisition of Disruptive Technologies announced by Digi International, a US provider of IoT connectivity products, solutions and services. We highlight the transaction details and strategic rationale for the acquisition, before exploring the current business segments of Digi International and commenting on our view of the deal. Transaction Details A definitive agreement to acquire Disruptive Technologies was signed on 30th September 2026. The purchase price of $130M is funded by leveraging Digi’s existing line of credit. Disruptive Technologies generated $15M in revenue in 2025, of which $4M was annual recurring revenue (ARR). That puts the enterprise value-to-sales (EV/sales) multiple at 8.7x. The transaction needs regulatory approval to close, which is expected before the end of 2026. Disruptive Technologies Disruptive Technologies is based in Lysaker, Norway.
